NDA First-Draft from a Brief
Produce a first-draft NDA from a short brief, clearly marked for legal review before use.
The prompt
Draft a first-draft mutual NDA from these parameters: - Parties: [names/entities] - Purpose of disclosure: [describe] - Term and survival: [e.g., 3 years / 5 years survival] - Governing law: [jurisdiction — REQUIRED, do not assume] - Any specific carve-outs: [list or "standard"] Base it on our NDA template in SharePoint if available. Mark the document "DRAFT — FOR LEGAL REVIEW" at the top, leave [SQUARE BRACKETS] for every item not supplied, and add a reviewer checklist at the end. This is a drafting aid; a qualified lawyer must review and approve before it is sent or signed.
How to use it
- 1Select Copy the prompt above.
- 2Paste it into Microsoft 365 Copilot.
- 3Replace anything in brackets with your own detail, then send it.
Copilot gathers and drafts. You verify and decide. Check every figure, name and date against the system it came from before you act on it.
